■ Cross-border and Outbound Investments:

Represented a renowned Chinese public pharmaceutical company in its acquisition of a major CDMO asset from a world leading pharmaceutical group headquartered in Switzerland.

Represented a renowned Chinese public pharmaceutical company in its acquisition of two CRO (Contracted Research Organization) entities in the United States.

Represented a public traded valve manufacturer in its acquisition of manufacturing assets in Germany and Canada; assist in the client’s global operations.

Advised a U.S. real estate fund on the solicitation of Chinese investors; assisted in the incorporation and capitalization of a U.S. building company with Chinese investments.

Advised a U.S. automotive client for the Chinese part of a global acquisition project; project managed due diligence and drafted DD report.

Advised a Hong Kong based client for its acquisition of an advertisement and design WOFE in Shanghai.

Data Protection: Advised on data protection compliance matters to multi-national firm clients in the sectors from media, Internet, IT and semiconductor to fashion and luxury, finance, pharmaceutical and education; advising to China based multi-national client on GDPR related matters by collaborating with European lawyers.

■ Fashion & Luxury

Project managed the rolling out of the new China business model of a world major diamond and jewellery company; drafted/reviewed licenses, management agreements and cooperation agreements; led the negotiation of major contracts with governmental jewellery appraisal institutions, major national jewellery retailers and major national financing groups.

Advised a U.K. luxury brand on its licensing, manufacture and distribution in China.

Advised a top menswear brand on the transition of its China business from licensing to franchising.

Managed trademark and copyright portfolio for various fashion clients in China; monitored and handled hundreds of trademark registrations and copyright registrations; project managed a number of CTMO proceedings and trademark litigations.

Handled IP infringement matters for various fashion industry clients; project managed counterfeiting actions against more than dozens of infringers. Actions included sending cease and desist letter, collection and notarization of evidences, filing of government complaints and instituting criminal and civil litigations.

■ Finance

Advised a major French insurance group on the entry of its insurance intermediary business in China; advised in the subsequent acquisition deal and conducted legal audit on the target companies.

Advised a U.S. bank on its entry into China for on-line payment business.

Advised a Europe financial institution on the regulations relating to online banking, security and insurance in China.

■ Pharmaceutical & Medical Equipment:

Regulatory analysis for a major UK medicine company with respect to centralized medicine purchase and anti-trust issues; project managed the review of over one hundred tendering documents and contracts.

Project managed the establishment of a medical equipment JV; advised the JV on its patent and trademark strategy; project managed anti-counterfeit campaign for the JV in China.

■ Media

Advised a world leading media group on the rolling out of its TV cooperation, IP licensing and theme park businesses in China; drafted/reviewed acquisition and licensing arrangements and documents.

Advised a format company on its regulatory issues arising from the latest legal development and advised on the available options.

Advised a U.K. filmmaking company on its Joint Venture with a Chinese media group.

Handled the negotiation between a U.K. magazine company and a China magazine under NDRC; reviewed deal structure and drafted deal documents.

■ Franchise:

Advised two major F&B franchisors from Singapore on their entries into the Chinese market; project managed the establishment of the franchise systems of the clients in China, including development of master franchisees and registration with MOFCOM.

Advised a major international franchise group on the strategy for the localization of its various brands in the China market and the restructuring of its established local franchise network.

Advised a top global real-estate brokerage group on the establishment of its franchise system in China.

Advised a major real-estate brokerage group on the liquidation and sale of its China franchise network. Advised various franchisor clients on their disputes with local franchisees.

Arthur provides comprehensive assistance on Chinese foreign direct investment laws and regulations, and analysis on investment structure, market entry and industry regulation, antitrust issues, foreign exchange regulations and corporate finance matters.

In parallel with servicing leading multinational firms, Arthur has successfully serviced many Chinese public companies in cross-border transactions and outbound direct investments. Arthur and his team support various Chinese private and public firms in their strategy to operate internationally. Arthur also oversees and project manages many clients’ IP portfolio, licensing and franchising, infringement and counterfeit, and other intellectual property matters in China.
