Representative Cases

2013 | Advised an Australian biotechnology research and development institute (the Client) on establishing a WFOE in China, obtaining local governmental funds for the WFOE, looking for Chinese investors; conducted due diligence on potential investors; negotiated on behalf of the Client with the investors and drafted and reviewed the transaction documents; provided advice on setting up holding company in Hong Kong and structuring IP protection.

2014 | Advised an Australian investment consultant company on establishing a WFOE in Shanghai.

2012 | Provided advice on spin-off of a joint venture company co-held by a public listed Chinese company and a German company with respect to valuation of the stocks, compensation for the Chinese shareholder, closing of IP and drafting the documents of the transaction, in particular, the settlement of the employees.

2013 | Provided advice on sale of the shares of a joint venture company held by a Chinese company and in particular, transferring the granted land of the joint venture company into transferrable land.

2015 | Advised a German company on bankruptcy and liquidation of its Chinese subsidiary.

2013 | Advised a large state-owned entity on its acquisition of a Finnish valve company. The transaction was closed with expected outcome after three years.
